Terms of Service

1. Who we are, and your acceptance
AgoFact is operated by MakeWithMe Inc, a Delaware corporation doing business as AgoFact (“AgoFact”, “we”, “us”). These Terms are a contract between you and MakeWithMe Inc, and they govern your use of www.agofact.com and everything we offer through it (the “Service”).
The signup and login screens tell you that continuing means you agree to these Terms and to our Privacy Policy, and that we will send you product and study emails. Creating an account, signing in, or otherwise using the Service is your acceptance of all three. If you do not agree, do not use the Service.
2. Eligibility
The Service is built for students and members of academic institutions. Anyone may create an account with a valid email address, subject to our anti-abuse controls. Publishing to a school’s public catalogue and earning creator revenue share require an eligible academic email (or a Google account on such an email) and a verified email address.
You must be at least 13 years old to use AgoFact. If you are under 18, you may use the Service only if a parent or legal guardian has reviewed these Terms and our Privacy Policy and agreed to them on your behalf — by using the Service you represent that this is the case, and that you are otherwise able to form a binding contract where you live. We do not knowingly allow anyone under 13 to create an account, and we close accounts we learn belong to someone under 13.
3. Your account
You are responsible for everything that happens under your account and for keeping your credentials secure. Give us accurate information — including your name, school, and any academic email you add — keep it current, and tell us promptly at kero@agofact.com if you believe someone else is using your account. One person, one account: do not create additional or automated accounts to circumvent limits, quotas, or referral and earnings rules.
4. Acceptable use
Upload only what you have the right to use. You represent that you own, or have permission to use, everything you upload, import, paste into a chat, or publish. Do not upload pirated textbooks, commercial test banks, other students’ work without permission, or material your institution forbids you from sharing.
In addition, you must not:
- use the Service for unlawful, infringing, harmful, deceptive, or abusive activity, or upload malicious code;
- misrepresent your identity, school, enrolment, or grades, or submit altered or falsified documents for grade verification;
- abuse the AI features — for example, automating bulk generation, reselling generated output as a competing service, or using the Service to produce content that harasses, defames, or endangers someone;
- scrape, harvest, or bulk-download listings, study apps, or other users’ content, or access the Service by automated means except as we permit;
- circumvent access controls, paywalls, build quotas, free-open limits, or referral and earnings rules, or otherwise interfere with the Service’s operation or security;
- reverse engineer the Service, except to the extent the law permits despite this restriction.
We may remove content, and suspend or terminate accounts, that break these rules or put other users at risk.
5. Your content, and the licences you grant
You keep ownership. You own the study materials you upload and the study apps you create with AgoFact. Nothing here transfers your copyright. What follows are the permissions we — and, once you publish, other users — need for the Service to work.
Licence to AgoFact. You grant MakeWithMe Inc a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and process your content in order to operate the Service. Processing expressly includes sending your materials, prompts, chats, and practice submissions to the AI model providers we use (named in the Privacy Policy) and creating derived artifacts from them — extracted text, summaries, preview images, search-engine summaries, and the study apps themselves. We may sublicense these rights to the infrastructure and AI providers who process content on our behalf, and only for those purposes.
What publishing makes public. When you build a study app in a chat linked to one of your classes and you are eligible to publish, that app is listed in your school’s public catalogue on AgoFact — for many builds this happens automatically when the app is saved. A published listing makes the following publicly accessible, and indexable by search engines: the app’s title and description, the prompt you used to create it, its preview image, an AI-generated summary written for search, the class it belongs to, and your public creator profile (display name, username, avatar, school, and any grade badges you have added). The interactive app itself is available to entitled viewers — subscribers and people spending a free open. Do not put anything in a build prompt, a title, or a class upload that you would not want your classmates and the public to see.
Sharing inside a class. Material you add to one of your classes is shared with everyone in that class, so they can study and build from it. Files you import from Google Drive or Notion stay yours alone until you add them to a class.
Fork licence to other users. Publishing is what makes AgoFact useful to a class, so publishing comes with a licence to other users: you grant each eligible AgoFact user the non-exclusive, royalty-free right to make their own copy of your published study app (a “fork”) and to adapt it, within the Service only. Forking is limited to users who can already access the listing and, today, to users at the same school. Forks record their lineage back to your original, so attribution follows the copy. No rights are granted outside the Service.
Licence from publishers to viewers. If you open someone else’s published study app, you get a personal, non-transferable right to use it for your own study, plus the fork right above. You may not redistribute it, republish it off-platform, sell it, or extract its content for another product.
Removal. There is no self-serve unpublish today. Email kero@agofact.com and we will remove a listing from the catalogue. Removal stops new access, but it does not reach back: copies that other users already forked continue to exist in their workspaces, and search engines and caches may take time to catch up.
6. Creator earnings and payouts
Creators who publish study apps may earn a share of a creator pool funded by a percentage of AgoFact’s subscription revenue (currently 10% of gross subscription revenue) and allocated across published apps by how much entitled viewers actually use them. Earnings are not guaranteed. No view, app, or publication carries a fixed payment, and we may change the pool rate, the allocation method, or the programme itself — prospectively, without rewriting earnings already recorded — or discontinue it.
Payouts run through Stripe Connect and require you to complete Stripe’s identity verification. Today they settle in US dollars to eligible accounts, are subject to a minimum balance, and are reviewed by us before release. Earnings obtained through fraud, self-dealing, fake accounts, or artificial engagement are void. You are responsible for your own taxes on anything we pay you, and for giving us any tax information we are required to collect.
Adding your grades is optional. If you do, they appear publicly as badges on your apps and profile and they lift how your apps rank in discovery — and earning is then gated on verifying them: while any grade you have claimed is still unverified, your apps earn nothing. To verify, you upload your own transcript or grade report, unaltered, and an AI model reads it to check the grades you claimed. Claiming grades you did not earn, or submitting an altered document, is grounds for termination and forfeiture of earnings.
7. Subscriptions and payments
Some features require a paid subscription — currently Standard and Plus plans, billed monthly or per four-month semester, each including a monthly build allowance. Current plans and prices are shown on the pricing page and at checkout; the price shown at checkout, in the currency Stripe offers for your location, is the authoritative one. Payments are processed by Stripe — we never see or store your card number.
Subscriptions renew automatically each billing period until you cancel. You can cancel at any time from the Stripe billing portal linked in your account; cancellation takes effect at the end of the period you have already paid for, and you keep access until then. Except where the law of your country or state requires otherwise, payments are non-refundable; we do issue refunds case by case at our discretion, so write to kero@agofact.com if something went wrong. Free-tier features, free opens, and build allowances are provided at our discretion, have no cash value, are not transferable, and may change.
8. AI-generated content and academic integrity
Study apps, summaries, essay feedback, grades on practice questions, and other outputs are generated by AI from your inputs. They can be wrong, incomplete, or out of date, and two runs on the same material can differ. Check anything you rely on against your official course materials. We do not promise any academic outcome, and the Service is not a substitute for your instruction, your institution’s materials, or professional advice.
Academic integrity is your responsibility. AgoFact is a study tool. Your institution’s rules about AI assistance, permitted collaboration, and sharing course materials apply to how you use it — including what you upload, what you publish to a class, and whether AI-assisted work may be submitted for assessment. Know those rules and follow them; we cannot know them for you.
9. Emails we send you
When you create an account you agree to receive email from AgoFact. Two kinds:
- Service email — email verification, security notices, build results, payment and payout notices, and replies to your requests. These are part of the Service and cannot be turned off while your account is open.
- Product and study email — follow-ups about apps you built, tips, and news about features. Every one of these carries an unsubscribe link, and honours the one-click unsubscribe control in your mail client. Opting out is immediate and does not affect your account or your subscription.
10. Copyright complaints
We respond to notices of alleged copyright infringement and remove infringing material. If you believe something on AgoFact infringes your copyright, follow the procedure in our Copyright & DMCA Policy, which also explains how to file a counter-notice and how we handle repeat infringers.
11. Suspension and termination
You may stop using the Service at any time. There is no self-serve account deletion yet — email kero@agofact.com and we will delete your account and associated data, as described in the Privacy Policy.
We may suspend or terminate your access, and remove content, if you break these Terms, if we are required to by law, or if we discontinue the Service. Where it is reasonable to do so, we will tell you why. Terms that by their nature should outlive the account — licences already granted for published and forked content, payment obligations, disclaimers, liability limits, and indemnity — survive termination.
12. Disclaimers, liability, and indemnity
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that AI output will be accurate, or that your content will be preserved indefinitely. The Service depends on third parties — including Google, Notion, Stripe, and our AI providers — whose own terms govern your use of them and whom we do not control.
To the maximum extent permitted by law, MakeWithMe Inc and its officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. To the same extent, our total liability for all claims relating to the Service is capped at the amount you paid us in the 12 months before the claim, or US$50 if you have paid us nothing.
You will indemnify MakeWithMe Inc against claims, damages, and reasonable costs arising from content you upload or publish, your use of the Service, or your breach of these Terms or of someone else’s rights.
Some jurisdictions do not allow these limitations, so parts of this section may not apply to you, and nothing here limits rights that cannot be limited by law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, and the state and federal courts located in Delaware have jurisdiction over disputes — subject to the paragraph below.
Talk to us first. Before starting any formal proceeding, email kero@agofact.com describing the problem and what you would like us to do. We will try in good faith to resolve it with you within 30 days. Most things can be fixed this way, and we would rather fix them. Either of us may still bring an individual claim in a small-claims court, and either of us may ask a court for urgent relief to stop misuse of intellectual property.
Your local rights come first. If the mandatory law where you live gives you rights that cannot be waived by contract — including, for South African users, the Consumer Protection Act and POPIA — those rights prevail over anything in this section, including the choice of law and venue.
14. Changes, and how to reach us
We may update these Terms as the Service changes. We will update the date at the top, and for material changes we will give notice in the product or by email before they take effect. Continuing to use the Service after a change means you accept the updated Terms; if you do not, stop using the Service and ask us to close your account.
These Terms, together with the Privacy Policy and the Copyright & DMCA Policy, are the whole agreement between you and us about the Service. If any provision is unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not transfer these Terms; we may transfer them to an affiliate or in connection with a merger or sale of the business.
